Welcome to Draftwisely. By using our service, you agree to these terms. Please read them carefully.
1. Accepting These Terms
By creating an account or using Draftwisely, you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use our service.
2. Who Can Use Draftwisely
To use Draftwisely, you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding contract
- Provide accurate account information
- Keep your login credentials secure
You're responsible for all activity under your account.
3. Plans & Pricing
Free Plan
- Limited features (see pricing page)
- No credit card required
- Can be used indefinitely
Paid Plans (Pro & Business)
- Billed monthly or annually in advance
- Automatically renews unless you cancel
- You can cancel anytime (no refunds for unused time)
Price Changes
We may change pricing with 30 days' notice. Changes apply on your next renewal. If you don't accept the new price, cancel before renewal.
Refunds
All fees are non-refundable except where required by law.
4. Acceptable Use
You agree not to:
- Use Draftwisely for illegal or fraudulent purposes
- Violate anyone's intellectual property or privacy rights
- Send spam or phishing emails through our service
- Attempt to hack, reverse-engineer, or disrupt the service
- Upload malware, viruses, or harmful code
- Resell, redistribute, or white-label Draftwisely without permission
We reserve the right to suspend or terminate accounts that violate these rules.
5. Your Content
Ownership
You own all content you create (invoices, proposals, client data, etc.). We don't claim any ownership.
License to Us
By using Draftwisely, you grant us a limited license to:
- Host, store, and process your content
- Display your content back to you and recipients you choose
- Back up and secure your content
This license ends when you delete your content or close your account.
Your Responsibility
- Having the legal right to use any content you upload
- Ensuring your content doesn't violate laws or third-party rights
- Backing up important data (we do our best, but you should too)
6. Our Intellectual Property
Draftwisely owns the software, code, platform, templates, designs, branding, trademarks, logos, and trade secrets. You get a limited, non-exclusive license to use Draftwisely for its intended purpose. You can't:
- Copy, modify, or create derivative works
- Remove branding or watermarks (on free accounts)
- Reverse-engineer or decompile the software
7. Service Availability
We aim for 99.9% uptime, but we don't guarantee uninterrupted service. The service may be unavailable due to:
- Scheduled maintenance (we'll notify you when possible)
- Technical issues or outages
- Events beyond our control (e.g., natural disasters, cyber attacks)
8. Support
We provide support via email (support@draftwisely.com) and in-app help documentation. Response times vary by plan. We'll do our best to help, but we don't guarantee specific response times.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.We don't guarantee:
- The service will be error-free or uninterrupted
- Your data will never be lost (though we take backups seriously)
- The service will meet your specific needs
- Third-party integrations will always work
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: Draftwisely is not liable for:
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid us in the 12 months before the claim. Some jurisdictions don't allow these limitations, so they may not apply to you.
11. Indemnification
You agree to defend and hold Draftwisely harmless from claims arising from your use of the service, your content, or your violation of these terms or applicable laws.
12. Cancellation & Termination
You Can Cancel Anytime
- Log in and go to Settings > Billing > Cancel Subscription
- Your access continues until the end of your billing period
- No refunds for unused time
We Can Suspend or Terminate
- You violate these terms
- Your account is inactive for a long time
- We're required to do so by law
- We decide to discontinue the service (we'll give you notice)
After Termination
- You lose access to your account and data
- We may delete your data after a grace period
- Sections that should survive (e.g., liability, disputes) remain in effect
13. Changes to These Terms
We may update these terms from time to time. When we do:
- We'll post the new terms here
- We'll update the "Last updated" date
- For material changes, we'll notify you by email or in-app
- Continued use after changes means you accept them
If you don't agree, cancel your account before the changes take effect.
14. Governing Law & Disputes
These terms are governed by the laws of Delaware, USA, without regard to conflict of law rules. Any disputes must be resolved in the courts of Delaware, unless your local laws require otherwise.
15. Miscellaneous
Entire Agreement – These terms and our Privacy Policy are the entire agreement between you and Draftwisely.
No Waiver – If we don't enforce a right under these terms, it doesn't mean we've waived that right.
Severability – If any part of these terms is found invalid, the rest remains in effect.
Assignment – You can't transfer your account or these terms without our permission. We may transfer our rights and obligations (e.g., if we're acquired).
